Terms of Service

These Terms of Service (“Terms”) govern your use of the website at droidnex.com and any services provided by Droidnex (“Droidnex,” “we,” “us,” or “our”), a software and AI development studio headquartered in Hyderabad, India.
By accessing our website or engaging us for a project, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.
1. Services
Droidnex provides custom software development, AI integration, web application development, dashboard and automation solutions, and related technical consulting services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or statement of work (“Project Agreement”), which forms part of these Terms.
We reserve the right to decline any project enquiry at our discretion, without obligation to provide a reason.
2. Project Agreements and Scope
Each project begins with a scoping phase during which we align on requirements, timeline, and cost. A Project Agreement is issued and must be accepted before work commences. The Project Agreement will specify:
- The full scope of deliverables
- Milestones and estimated delivery schedule
- Payment terms and amounts
- Any third-party tools, APIs, or services required
- Post-delivery support period
Any requirements, features, or changes not documented in the Project Agreement are considered out of scope. All scope changes requested after project kick-off must be submitted in writing and will be assessed via a formal change order with revised pricing and timeline. Work on changes will not begin until the change order is agreed upon and signed.
3. Domain and Hosting
Basic shared hosting on standard infrastructure is included in the Starter plan. VPS or dedicated hosting is available at additional cost and will be detailed in the Project Agreement.
One standard domain extension — .com, .in, .co.in, .net, or .org — is covered per project. Premium, short-character, or category-specific domains such as .io, .ai, or .co are not included and will be billed separately at market rate.
Annual renewal of domain and hosting is the client's responsibility. Droidnex will send a reminder 30 days before renewal is due. If payment is not received within a 7-day grace period after the renewal date, the associated services (hosting, domain, or AI API access) may be suspended until the outstanding amount is cleared. Droidnex is not liable for any business interruption arising from non-renewal.
4. AI and Generative AI Capabilities
AI features included in the Pro and Advanced plans are scoped to a defined usage tier based on expected user volume and use case, agreed upon before delivery begins.
Usage beyond the agreed tier — including increased API call volumes, additional AI models, or expanded feature scope — will incur additional charges billed at cost plus a service fee. We will notify you before any significant overage is incurred where possible.
Third-party AI provider costs (OpenAI, Anthropic, Google, and others) are passed through to the client at cost and are not absorbed into the plan price unless explicitly stated in the Project Agreement. You remain responsible for complying with the terms of service of any AI provider integrated into your application.
AI-generated outputs are provided as-is. Droidnex does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content produced by integrated third-party models. Clients are responsible for reviewing AI outputs before use in production or client-facing contexts.
5. Payment Terms
All prices are in Indian Rupees (INR) and are exclusive of applicable taxes, including GST where applicable. GST will be charged at the prevailing rate and itemised on all invoices.
Standard payment terms are:
- 50% upfront before work commences, upon acceptance of the Project Agreement
- 50% on delivery, prior to handover of source code, credentials, or deployment
- For larger engagements, milestone-based payment schedules may be agreed and documented in the Project Agreement
Invoices are due within 7 days of issue. Late payments may attract a late fee of 1.5% per month on the outstanding balance. Droidnex reserves the right to pause work or withhold deliverables in the event of non-payment.
6. Intellectual Property and Ownership
Upon receipt of full and final payment for a project, all custom code, designs, and deliverables produced by Droidnex specifically for that engagement are assigned to the client. The client will own the intellectual property in those deliverables outright.
The following are not included in this assignment:
- Open-source libraries, frameworks, or components used in the project (governed by their respective licences)
- Third-party APIs, SDKs, or SaaS platforms integrated into the solution
- Droidnex's proprietary internal tools, boilerplate code, or reusable components that form part of our general development workflow and are not specific to your project
Droidnex reserves the right to reference the project (by name, category, and general description) in our portfolio and marketing materials, unless the client requests confidentiality in writing before project commencement.
An NDA and IP assignment agreement are signed at the start of every project. Client-specific intellectual property, data, and business logic are never reused across other engagements.
7. Confidentiality
Both parties agree to treat as confidential any non-public information shared during the engagement, including but not limited to business strategies, product roadmaps, customer data, technical specifications, and financial information. Confidential information will not be disclosed to any third party without prior written consent, except where required by law.
This obligation survives termination of the engagement for a period of 3 years.
8. Post-Delivery Support and Maintenance
Post-delivery support is included for the period stated in your plan (typically 30 days for Starter, 60 days for Pro, and 90 days for Advanced). During this period, Droidnex will address bugs or defects in the delivered work at no additional charge.
Support covers defects in the agreed deliverables only. It does not cover issues arising from third-party service outages, client-side modifications to the codebase, infrastructure changes made by the client, or new feature requests.
Ongoing maintenance beyond the included support period is available under a separate maintenance retainer, priced and agreed independently. Annual renewals for hosting, domain, and third-party SaaS tools are the client's responsibility and are not bundled into the one-time plan price.
9. Warranties and Disclaimers
Droidnex warrants that all work will be performed with reasonable skill and care, consistent with professional standards in the software development industry.
Except as expressly stated in the Project Agreement, all deliverables are provided “as is.” We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted operation. We do not guarantee that any application or system will be free of errors, vulnerabilities, or downtime.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Droidnex's total liability to the client for any claim arising out of or relating to these Terms or a Project Agreement shall not exceed the total fees paid by the client under the relevant Project Agreement in the 6 months preceding the claim.
In no event shall Droidnex be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, even if advised of the possibility of such damages.
11. Termination
Either party may terminate a project engagement by providing 14 days' written notice. In the event of termination:
- The client is liable to pay for all work completed up to the date of termination, including any non-cancellable third-party costs incurred on the client's behalf.
- Work completed up to the termination date will be delivered to the client upon receipt of payment for that work.
- Droidnex may terminate immediately if the client fails to make payment within 14 days of a due date, or if the client acts in a manner that is abusive, threatening, or otherwise harmful to Droidnex staff.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of at least 30 days.
13. Changes to These Terms
Droidnex reserves the right to update these Terms of Service at any time. Changes will take effect upon publication on this page, with the “Last updated” date revised accordingly. Material changes affecting active client engagements will be communicated by email at least 14 days in advance. Continued use of our services following notice of changes constitutes acceptance of the updated Terms.
